MTIP completes Verifarma’s ownership and governance overhaul
Verifarma International, the technology company, has completed the design of its new ownership structure with private equity fund MTIP, placing control of the firm in the hands of its parent entity VISP Newco, which is registered in Las Palmas. The deal brings together a Swiss capital injection, a reorganization of the board of directors, and the appointment of advisors from the global pharmaceutical industry.
Registrar filings from July confirm that VISP Newco becomes the sole partner and sole administrator of Verifarma International. The vehicle company, based at Calle Bravo Murillo in the Gran Canaria capital, carried out a capital increase that placed its subscribed funds at €1,150,738. The corporate move consolidates ownership of the technology company focused on developing software for traceability, serialization, and quality management for the healthcare sector.
The new governing body of the holding company includes executives from MTIP and independent experts in pharmaceutical technology. The chairmanship of VISP Newco is held by the British firm Pace Strategic Advisors, represented by James Hutchison Moss. The British executive also assumes the role of non-executive chair of the operating board. The management structure is further joined by Glenn Emil Abood, founder of the medication tracking platform rfxcel, acquired by the Antares Vision group in 2021.
Representatives of the Swiss fund, Marton Ferenc Kenessey and Tim Alexander Schneider, appear on the list of directors and attorneys-in-fact. The formal reorganization completes the departure of the previous board of directors of Verifarma, led by cofounders Santiago Spector Mentasti and Ignacio Los Daneri. The founders and day-to-day operating executives Rodrigo López Martínez and Sebastián Migliorisi retain their daily executive powers through the granting of joint powers of attorney.
The group held its first in-person working meeting after the investment in Buenos Aires, where the management discussed the platform’s plans for international expansion.
Capital injection aimed at global expansion
Verifarma develops IT solutions designed for regulatory compliance and tracking the pharmaceutical supply chain. Its product catalog serves more than 2,000 companies across 27 countries. The software manages critical processes in highly regulated environments, from the individual serialization of medicines to pharmacovigilance and quality management systems in production plants.
The private equity fund MTIP, based in Basel, specializes in financing European healthcare technology companies in the growth phase. Led by Marton Kenessey, the firm focuses its investments on software platforms capable of scaling in international life sciences markets. The Swiss firm’s valuations highlight the need to align experience in mergers and acquisitions with technical knowledge of international regulations on pharmaceutical traceability. The corporate move positions its hub in Spain through offices in Las Palmas.
The company Verifarma International, originally incorporated under the name Bdev Nobo and transferred from its prior headquarters in Madrid, maintains its registered office in the Canary Islands. The legal structure on the islands serves as a platform for managing the group’s interests in Latin America, Europe, and North America.
Consolidation of the serialization market
The pharmaceutical industry faces increasingly strict regulatory requirements regarding medicine authentication and counterfeit prevention.
Regulations implemented in the European Union, the United States, and various countries in Latin America require manufacturers to identify each commercial pack using unique codes that can be traced in real time. This legal framework boosts demand for specialized digital tools to process large-scale traceability data. The arrival of the new board members is intended to accelerate Verifarma’s penetration in the eQMS software segment and consolidate its market share in the management of regulatory records.
The presence of James Moss adds experience in transactions in the clinical trial services and medical technology sector. Meanwhile, the appointment of Glenn Abood adds technical capacity in designing traceability architectures for global supply chains. The filings reflect the revocation of the former structure of joint administrators and the consolidation of the framework agreements signed between the founding shareholders and the new investors.
The company will keep the operations of its software development teams while preparing to open new service lines for pharmaceutical laboratories and healthcare logistics companies. The roadmap outlined by MTIP calls for strengthening the group’s technological infrastructure to support the healthcare sector’s digital transformation.
