Green Sea Canarias: the new operating hub for JSV’s strategic restructuring
The strategic restructuring of the logistics group JSV has found its operational anchor in the Canary Islands, with the creation of Green Sea Canarias. The registration of the entity this summer formalizes the rollout of a new naval management vehicle designed to support the expansion of the maritime transport network between the Peninsula and the islands. The corporate move takes on financial weight in parallel with the entry of private capital manager Nazca Capital into the group’s shareholding, along with an allocation of €70 million to bring two next-generation eco container ships into service within a year.
Registration details and ownership structure
The registration file sets the company’s start of operations for mid-June, placing its registered office in the port area of Gran Canaria’s capital, specifically on calle Albareda. Green Sea Canarias is established as a single-shareholder company, with initial share capital of €3,000. The direct ownership of the shares is held entirely by Naviera Tamarán, the long-standing naval subsidiary through which the family group has historically operated regular container traffic along the Atlantic corridor.
Governance and management appointments
The design of the company’s governing body reflects the direct control exercised by the founding family. The sole administration of Green Sea Canarias has been assigned to Road Sea Group, an entity incorporated in Madrid last year that has been integrated as the group’s single shareholder within the corporate structure. Executive leadership is explicitly vested in Sonia Herzog, appointed as the physical representative of the administering company. Together with her sister Verónica Herzog, the family leadership will preserve operational management and strategic decision-making after the opening of capital to institutional investors.
Legal framework for fleet operations
The creation of this legal figure provides JSV with the legal and technical coverage needed to take on the economic operation of merchant vessels under multiple operating models. The company’s business purpose includes both the direct ownership of the ships and financial leasing, as well as bareboat chartering. This flexibility is key to structuring the arrival of the two new 1,000 TEU container ships assigned to the ‘Green’ range, characterized by their environmental efficiencies and their focus on meeting EU requirements for decarbonisation.
Nazca Capital funding through Nazca Opportunities
Nazca Capital backs the plan through its instrument Nazca Opportunities, focused on transactions above €100 million, providing the solvency needed to finance the purchase of the naval equipment. The capital injection by the Madrid-based fund strengthens the family group’s negotiating position in international shipbuilding and chartering markets, enabling high-impact fleet renewals without altering the executive’s decision-making autonomy.
Las Palmas as the central operating base
Las Palmas port consolidates itself as the central operating base for the new ship-owning vehicle. JSV maintains at the La Luz docks a strategic alliance agreement with Romeu, tasked with coordinating stevedoring services, container terminal management and land logistics for distribution across the islands. The presence of the new ship-owning company in Gran Canaria’s capital optimizes day-to-day coordination with local port stakeholders and strengthens the group’s ability to respond to supply needs of the Canarian economy.
Geographic diversification and multimodal transport
The corporate structuring of Green Sea Canarias coincides with the group’s geographic diversification strategy, which over the past year has strengthened its direct connections with Turkey. Integrating specialized corporate tools in Las Palmas, combined with the muscle of private investment, enables the corporation to lead the consolidation of multimodal transport in the Atlantic region—combining eco-friendly maritime freight with the rail and road networks operating in the Peninsula territory.
